1. Acceptance of Terms
This User Agreement ("Agreement") is a legal agreement between you and Nodia, LLC ("Nodia", "we", "us" or "our") regarding your access to and use of Nodia, including the mobile application, website pages, content, community features and related services.
By downloading, accessing, registering for or using Nodia, you confirm that you have read, understood and agreed to this Agreement and the Nodia Privacy Policy. If you do not agree, please do not use Nodia.
2. Eligibility
Nodia is not intended for minors. You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to use Nodia.
You represent that the information you provide is true, accurate and complete, and that you have the legal capacity or proper authorization to enter into this Agreement.
3. Account Registration and Security
Nodia currently supports registration or login with an invitation code, a password, Google or Facebook. The available login methods may vary by app version and region.
You are responsible for:
- Providing accurate account information.
- Keeping your login credentials secure.
- All activities that occur under your account.
- Promptly notifying us of unauthorized access or security incidents.
You may not sell, transfer, rent, lend, share or otherwise provide your account to others without our written consent. We may restrict, suspend or terminate accounts that are registered or used improperly, unlawfully or in violation of this Agreement.
4. Invitation Codes and Access Control
Nodia may use invitation codes or limited-access mechanisms. Invitation codes are provided for authorized use only and may not be sold, traded, publicly distributed, abused or used to create false, spam or automated accounts.
We may invalidate invitation codes or restrict access where necessary to protect product safety, community quality or legal compliance.
5. Services and Features
Nodia is a social content and community service. Features may include profile creation, feeds, publishing and viewing text, images or videos, liking, commenting, saving, following, private messages with text or media, sharing, reporting, blocking, push notifications and account settings. Some features may be limited by your app version, account status or region.
We may add, adjust, suspend or discontinue features from time to time for product, operational, security or legal reasons.
6. User Content
"User Content" means any content you submit, upload, publish, display, transmit or otherwise make available through Nodia, including text, images, videos, audio, comments, private messages, profile information, links, captions, tags and feedback.
You retain ownership of your User Content, subject to the license granted below. You are solely responsible for your User Content and for ensuring that you have all necessary rights and permissions to publish it.
You grant Nodia a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, adapt, translate, display and distribute your User Content as needed to operate, provide, secure, support and improve Nodia and as directed by your privacy settings. We will not publicly use the contents of your private messages for promotional purposes without an appropriate legal basis or your permission.
If you delete User Content, we will take reasonable steps to remove it from active display, but copies may remain in backups, caches, moderation records, legal records or content already shared or saved by others.
7. Community Rules and Prohibited Conduct
You agree to use Nodia lawfully, respectfully and in good faith. You may not use Nodia to create, upload, publish, share, promote or engage in content or conduct that:
- Violates laws, regulations, public order or public morals.
- Infringes intellectual property, privacy, portrait, reputation or other rights of others.
- Contains harassment, bullying, threats, hate speech, discrimination, exploitation or graphic violence.
- Contains pornography, sexual exploitation, illegal drugs, weapons, gambling or other illegal products or services.
- Sexualizes, exploits, grooms, endangers or otherwise harms a child, including any child sexual abuse or exploitation material.
- Contains non-consensual intimate imagery or sexual exploitation of any person.
- Spreads fraud, scams, false information, spam, malicious links or deceptive activity.
- Impersonates others, misrepresents identity or creates fake accounts.
- Collects, discloses or misuses personal information of others without authorization.
- Uses bots, crawlers, scraping, automated registration, traffic manipulation or other abusive technical methods.
- Interferes with the security, stability or normal operation of Nodia.
- Circumvents moderation, access controls, account restrictions or technical protection measures.
We may review, remove, restrict visibility of, label or otherwise moderate content that may violate this Agreement, community rules or applicable law.
8. Reporting and Enforcement
Nodia provides in-app reporting for posts, comments, users and private-message conversations, and provides user-blocking controls. We review reports and relevant safety signals on an ongoing basis and may take actions such as warning, content removal, visibility restriction, feature limitation, account suspension, account termination or referral to authorities where appropriate.
We may not disclose all details of moderation decisions if doing so may affect safety, privacy, legal compliance or anti-abuse measures.
9. Intellectual Property
Nodia and its software, interface, design, logos, trademarks, service marks, product names, text, graphics, icons, audio, video, data, algorithms and other materials, excluding User Content, are owned by Nodia or its licensors and are protected by intellectual property laws.
Except as expressly permitted by us, you may not copy, modify, distribute, sell, lease, reverse engineer, decompile, extract source code from or create derivative works based on Nodia or our materials.
10. Third-Party Services
Nodia currently integrates or may link to Google Sign-In, Facebook Login, Firebase Analytics, Firebase Crashlytics, Firebase Cloud Messaging, Qiniu media upload/storage services, the Android system share sheet, Google Play and external websites. The list may change as features change; the Nodia Privacy Policy describes the relevant information flows.
Your use of third-party services is subject to their own terms and policies. We are not responsible for third-party services that we do not control.
11. Privacy
We process personal information according to the Nodia Privacy Policy. Please read it carefully to understand what information we collect, how we use it and what rights you may have.
12. Fees and Paid Features
The current Android build does not establish a subscription or paid-feature flow in this Agreement. If Nodia introduces paid features, we will show the applicable price, purchase terms, renewal or cancellation conditions and refund information before purchase. Google Play rules and applicable law will also apply.
13. Account Suspension and Termination
You may stop using Nodia at any time. To request account deletion in the app, go to Me → Settings → Account security → Delete account. If you cannot access the app, email support@nodiaring.com with the subject “Nodia Account Deletion Request”. We may verify account ownership before completing the request; do not send your password or authentication token.
We may suspend, restrict or terminate your account or access to Nodia if:
- You violate this Agreement, community rules or applicable law.
- Your account creates security, fraud, abuse or legal risk.
- We are required to do so by law or competent authority.
- Continuing service is no longer commercially, technically or legally feasible.
After termination, we will handle account data and User Content as described in the Nodia Privacy Policy. Provisions concerning intellectual property, disclaimers, liability, dispute resolution and other clauses that should reasonably survive will continue to apply.
14. Disclaimer
Nodia is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we do not guarantee that Nodia will be uninterrupted, error-free, secure, always available or that content will be accurate, complete or suitable for your purpose.
User Content is created by users and does not necessarily represent Nodia's views. You should use your own judgment when relying on content, advice, recommendations or information from other users.
15. Limitation of Liability
To the maximum extent permitted by law, Nodia and its affiliates, officers, employees, contractors and partners will not be liable for indirect, incidental, special, consequential or punitive damages, loss of profits, loss of data, loss of goodwill, business interruption or other losses arising from or related to your use of Nodia.
Where liability cannot be excluded under applicable law, our liability will be limited to the maximum extent permitted by law.
16. Indemnity
You agree to defend, indemnify and hold harmless Nodia, its affiliates, officers, employees, contractors and partners from claims, losses, liabilities, damages, costs and expenses arising from your User Content, your use of Nodia, your violation of this Agreement or your infringement of third-party rights.
17. Changes to This Agreement
We may update this Agreement from time to time. If changes are material, we will provide notice through Nodia, website notice, email, push notification or other reasonable means. Your continued use of Nodia after the effective date of the updated Agreement means you accept the changes.
18. Governing Law and Dispute Resolution
This Agreement shall be governed by applicable law, subject to mandatory consumer-protection laws in your jurisdiction.
Any dispute arising from or relating to this Agreement or Nodia shall be resolved in accordance with applicable law and the relevant rules of your jurisdiction through negotiation, arbitration or a court of competent jurisdiction.
